Effective date: September 8, 2026
These Business Account and Order Terms (“Business Terms”) apply when a company, sole proprietor, professional, or other person acting for business purposes (“Business Customer”) creates or uses a JustList business account or buys a subscription, advertising placement, account package, integration, or other business feature from IQClub Inc., doing business as JustList (“JustList”).
1. Agreement and order of precedence
These Business Terms supplement the JustList Terms of Service, Provider Agreement and Certification, Commercial Services, Advertising, and Subscription Terms, and the policies incorporated into those documents. An online checkout, insertion order, order form, statement of work, or similar ordering document accepted by JustList is an “Order.”
If provisions conflict, a mutually signed Order controls first for the specific purchase, then these Business Terms, then the Commercial Terms, and then the Terms of Service. A purchase order or other form supplied by the Business Customer is administrative only and does not add or replace terms unless JustList expressly signs it as an amendment.
2. Business authority and account administration
The person accepting an Order or administering a business account represents that the person has authority to bind the Business Customer. The Business Customer is responsible for its administrators, employees, contractors, account users, credentials, permissions, and all activity conducted through its account.
The Business Customer must maintain accurate legal, trade-name, contact, billing, ownership, credential, and service information and promptly remove access for anyone no longer authorized. It must notify [email protected] promptly of suspected unauthorized access.
3. Limited business access
During the applicable term and subject to payment and compliance, JustList grants the Business Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right for its authorized users to access the purchased business features for the Business Customer's internal business purposes.
The Business Customer may not resell, sublicense, share, rent, or provide service-bureau access to a feature unless an Order expressly authorizes it. No right is granted to JustList software, source code, models, interfaces, data, documentation, trademarks, or other intellectual property except the limited access stated in the agreement.
4. Listings and business content
Each listing must describe a genuine, currently offered service in the correct category and service area. Unless the applicable plan or Order says otherwise, the Business Customer may publish only one listing for the same materially identical service and area and may not use duplicate accounts, minor wording changes, or location manipulation to evade limits.
The Business Customer must keep prices, qualifications, availability, credentials, media, service areas, claims, and contact information accurate and must promptly pause, correct, or remove an unavailable or unlawful offering. Payment does not guarantee approval, publication, continued availability, ranking, contacts, or results.
The Business Customer owns its lawful content and grants JustList the content license in the Terms of Service. It represents that it has all rights, notices, permissions, and lawful bases needed for JustList to receive and use that content as contemplated by the agreement.
5. Customer inquiries and lead information
Contact details, messages, project descriptions, and other information received through JustList may be used only to respond to the particular inquiry, communicate about a reasonably related service, protect safety, maintain records required by law, and perform the Business Customer's direct agreement with that Customer.
The Business Customer may not sell, rent, share, enrich, append, harvest, or use inquiry information for unrelated advertising, eligibility decisions, surveillance, or a separate data product. It must apply reasonable access, security, retention, and deletion controls; honor applicable privacy rights and communication opt-outs; and delete information when no longer reasonably needed or when law requires.
A contact, message, call tap, or other inquiry is not a guaranteed lead, qualified prospect, booking, contract, sale, payment, or completed interaction. JustList does not represent that an inquiry is authentic, exclusive, accurate, lawful, or likely to convert.
6. Imports, feeds, and integrations
This Section applies only if an Order enables an import, feed, API, connector, or other integration. The Business Customer authorizes JustList and identified service providers to access, transmit, normalize, display, update, and remove the data reasonably necessary to provide that integration.
The Business Customer is responsible for source-system permissions, data quality, mapping, notices, consents, and the legality of imported material. It must not import payment-card data, government identifiers, health information, or other restricted or sensitive data unless the Order and an applicable data agreement expressly authorize it.
Integrations may be changed, rate-limited, suspended, or discontinued because of security, third-party action, product changes, or legal requirements. Unless an Order expressly says otherwise, JustList does not promise migration completeness, synchronization frequency, error-free operation, compatibility, or retention of an external system's data.
7. Paid placement, analytics, and results
Advertising and sponsored placements are subject to inventory, eligibility, moderation, relevance, technical conditions, and the terms of the Order. Paid results will be labeled as described in the Sponsored Listings and Ranking Disclosure. Payment does not buy favorable reviews, editorial treatment, organic rank, immunity from moderation, or category exclusivity.
Metrics are estimates generated under JustList's methods and may be delayed or adjusted to address invalid activity. JustList does not guarantee impressions, contacts, calls, messages, Customers, bookings, revenue, profitability, service completion, Customer satisfaction, or any other business result.
8. Fees, invoices, taxes, and payment authorization
The Business Customer will pay the fees, taxes, currency, schedule, and payment method stated in the Order. Depending on the Order, payment may be collected through Stripe by card or bank debit or may be invoiced for payment by an approved method. The Business Customer authorizes disclosed recurring charges and must maintain accurate billing information.
Unless the Order says otherwise, invoices are due within 30 days after issuance. Overdue undisputed amounts may result in suspension after any notice required by the agreement or law. The Business Customer is responsible for sales, use, excise, and similar taxes on the purchase other than taxes measured by JustList's net income.
Fees are non-cancelable and non-refundable after the applicable cancellation deadline except where the Order, the Commercial Terms, or non-waivable law says otherwise. A billing objection must be sent to [email protected] promptly and, for an invoiced business purchase, within 30 days after the invoice date; this contractual notice period does not waive rights that cannot lawfully be waived.
9. Subscription term, renewal, and cancellation
The initial term and any renewal period are stated in the Order. An Order renews automatically only if it conspicuously says so and the Business Customer provides the required consent. The Commercial Terms govern checkout disclosure, renewal notice, cancellation, and refunds for a self-service subscription.
For a negotiated Order, either party may prevent renewal by giving the notice stated in that Order. If no period is stated, written non-renewal notice received at least 30 days before the end of the then-current term prevents the next renewal. Cancellation of an Order does not cancel a different Order unless the confirmation expressly identifies it.
10. Upgrades, reductions, and changes
An upgrade may take effect immediately and may be prorated as shown in the amendment or checkout. A reduction ordinarily takes effect at the next renewal and does not create a refund for the current committed term. Changes requested by an account administrator bind the Business Customer if made within the administrator's authorized account controls.
JustList may change a feature prospectively and may change a future renewal price after the notice required by the Order and applicable law. If JustList permanently discontinues a paid feature during a committed term for reasons unrelated to the Business Customer's breach, JustList may provide a substantially similar feature, service credit, or a prorated refund of the affected prepaid unused fee as the Business Customer's exclusive contractual remedy, except where law requires another remedy.
11. Compliance, credentials, and disclosures
The Business Customer is solely responsible for laws governing its advertising, communications, privacy, licenses, registrations, permits, bonds, insurance, workers, taxes, pricing, contracts, cancellation rights, disclosures, and performance of services. It must supply license numbers or other advertising disclosures when required and must not publish or perform work outside the scope, jurisdiction, value limit, or status of an applicable credential.
A JustList credential indicator has only the narrow meaning stated in the Verification, Badges, and Credentials Policy. It is not approval, endorsement, insurance, continuous monitoring, or a guarantee of qualifications, legality, safety, workmanship, availability, or fitness for a project.
12. Restrictions and acceptable use
The Business Customer may not reverse engineer, copy, modify, interfere with, overload, probe, benchmark for public disclosure, or circumvent the Platform; access it through unauthorized automation; harvest or commercially reuse Platform data; hide proprietary notices; test security without written authorization; or use the Platform to build or train a competing product or database. The Terms of Service and Anti-Scraping, Automated Access, and Platform Abuse Policy contain additional restrictions.
13. Confidential information
“Confidential Information” means nonpublic information disclosed in connection with an Order that is marked confidential or reasonably should be understood as confidential. It excludes information that the recipient can document was lawfully known without restriction, independently developed without use of the information, lawfully received from another source without duty, or made public without breach.
Each recipient will use the other party's Confidential Information only to perform or exercise rights under the agreement, protect it with at least reasonable care, and disclose it only to personnel and professional advisers who need it and are bound to protect it. A legally compelled disclosure may be made after advance notice where permitted and reasonable cooperation at the disclosing party's expense.
14. Data protection and security
Each party will comply with privacy and security laws applicable to its own processing. The Business Customer must provide all notices and obtain all permissions needed before sending personal information to JustList. JustList will handle account and Platform personal information under its Privacy Policy and applicable data agreement.
Each party will maintain reasonable administrative, technical, and physical safeguards appropriate to the information it controls and will notify the other without undue delay after confirming a security incident materially affecting the other party's Confidential Information. A separate data processing addendum controls if signed and applicable.
15. Ownership and feedback
JustList and its licensors retain all rights in the Platform, documentation, aggregate or de-identified operational information, and related technology. The Business Customer retains rights in its trademarks and business content. Except for the express limited licenses, neither party transfers ownership to the other.
If the Business Customer voluntarily provides product suggestions, it grants JustList a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation, but this does not grant a license to a registered patent or transfer ownership of the Business Customer's content.
16. Suspension and termination
JustList may suspend or restrict access for nonpayment, a security threat, unlawful conduct, policy violation, material breach, third-party platform restriction, or risk to users or the Platform. Where reasonable and lawful, JustList will provide notice and an opportunity to cure a remediable breach.
Either party may terminate an Order for the other party's uncured material breach after 30 days' written notice, or sooner if the breach cannot be cured, continued access creates material security or legal risk, or insolvency law permits termination. Termination does not excuse accrued payment obligations. Provisions concerning ownership, confidentiality, data handling, disclaimers, liability, indemnity, disputes, and terms that by nature should survive will survive.
17. Warranties and disclaimers
Each party represents that it has authority to enter the agreement. The Business Customer additionally represents that its information is accurate, its content and services do not violate law or third-party rights, and it will not make a commitment or representation on behalf of JustList.
TO THE FULLEST EXTENT PERMITTED BY LAW, JUSTLIST PROVIDES BUSINESS FEATURES, ADVERTISING, INTEGRATIONS, DATA, METRICS, AND THE PLATFORM “AS IS” AND “AS AVAILABLE” AND DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES EXCEPT AN EXPRESS WARRANTY IN A MUTUALLY SIGNED ORDER. JUSTLIST DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, DATA ACCURACY, COMPATIBILITY, OR ANY LEAD, CUSTOMER, RANKING, REVENUE, SERVICE, OR BUSINESS OUTCOME.
18. Indemnity
To the fullest extent permitted by law, the Business Customer will defend, indemnify, and hold harmless JustList and its affiliates, officers, directors, employees, and agents from third-party claims and resulting losses, penalties, costs, and reasonable attorneys' fees arising from the Business Customer's content, technology, privacy or communication practices, services, personnel, customer contracts, license or legal violations, misrepresentations, or breach of the agreement.
JustList will provide reasonably prompt notice, allow the Business Customer to control the defense with reasonably acceptable counsel, and reasonably cooperate at the Business Customer's expense. No settlement may admit JustList's fault, impose a non-monetary obligation on JustList, or fail to unconditionally release JustList without JustList's written consent. This Section does not require indemnity for JustList's own unlawful conduct to the extent such indemnity is prohibited.
19. Liability limits and service disputes
The disclaimers, exclusions, liability cap, release, and dispute provisions in the Terms of Service apply. An Order may state a different negotiated cap only if it expressly identifies this Section.
JustList is not a contractor, dispatcher, employer, insurer, broker, escrow service, or guarantor. It is not responsible for a Provider's work, personnel, quote, payment, delay, no-show, code or licensing violation, injury, property damage, defective work, refund, rework, cleanup, warranty, or Customer satisfaction. Those claims belong between the Customer, Provider, their insurers, and other responsible parties.
20. Independent businesses and no authority
The parties are independent contractors. These Business Terms do not create employment, agency, partnership, franchise, fiduciary, joint-venture, exclusive territory, or authority to bind the other party. The Business Customer must not describe itself or its workers as JustList employees, agents, approved contractors, or representatives.
21. Notices and contact
Operational notices may be sent to the account email. Legal notices to JustList must be sent to [email protected] and IQClub Inc., Attn: Legal, 3540 Toringdon Way, Ste 200 Unit #5087, Charlotte, NC 28277. Billing questions: [email protected]. Security reports: [email protected].
The assignment, governing-law, dispute, force-majeure, severability, waiver, electronic-communications, and entire-agreement provisions in the Terms of Service apply unless a mutually signed Order expressly replaces them for the business relationship. The English version controls.
